These Terms & Conditions (“Terms”) govern access to and use of PartyAxis.com and related services (the “Service”) operated by the owner of PartyAxis (“PartyAxis”, “we”, “us”, “our”). By accessing or using the Service, you agree to these Terms. If you use the Service on behalf of an organisation, you represent that you have authority to bind that organisation. If you do not agree, do not use the Service.

1. Definitions

“Content” means text, images, links, metadata, and other materials submitted to or displayed via the Service. “User”, “you”, and “your” refer to any visitor or account holder. “Listing” means an event or related advertisement published or submitted through the Service.

2. Eligibility & accounts

The Service is intended for users who are at least 21 years of age. By registering, you represent and warrant that you meet this requirement and that all registration information you provide is accurate and current.

You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us promptly at the contact below if you suspect unauthorised access.

3. The Service

PartyAxis provides an online platform to discover and publish event-related listings. We do not currently charge users for access to the Service. We may update, change, suspend, or discontinue parts of the Service (including features, moderation practices, and eligibility rules) where reasonably necessary for security, legal compliance, fraud prevention, or operations, with or without notice where permitted by law.

We do not guarantee uninterrupted, error-free, or completely secure operation. Availability may depend on third-party hosting, networks, and integrations outside our control.

4. Listings & user content

You retain ownership of Content you submit, subject to the licence below. You are responsible for your Listings and for compliance with applicable laws (including licensing, promotions, alcohol, safety, venue rules, tax, and consumer protection where they apply to you).

You grant PartyAxis a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, adapt (including formatting and resizing for display), publicly display, distribute, and otherwise use your Content as reasonably necessary to operate, promote, and improve the Service, to present the Service to the public, and to enforce these Terms. This licence includes permission for PartyAxis to engage service providers (for example hosting and email delivery) who process Content on our behalf. The licence continues while your Content appears on the Service and for a reasonable period afterwards for backups, disputes, and legal compliance.

You represent and warrant that you have the rights needed to grant this licence and that your Content does not infringe third-party rights or violate applicable law. PartyAxis is not obliged to host, display, or promote any particular Listing.

5. Acceptable use & prohibited conduct

You agree not to misuse the Service. Without limitation, you must not:

post Listings that are unlawful, fraudulent, deceptive, discriminatory, harassing, defamatory, obscene, or that promote illegal activity;
infringe intellectual property, privacy, publicity, or other rights of any person;
upload malware, attempt unauthorised access, scrape the Service in breach of these Terms, or interfere with security or performance;
impersonate any person or misrepresent your affiliation;
collect personal data from other users without a lawful basis and appropriate notice/consent;
use the Service to send unsolicited bulk communications in breach of law or industry standards.

6. Moderation, approval & removal

Listings may be subject to review before publication. PartyAxis may refuse, edit, delay, re-order, or remove Content where we reasonably consider it appropriate, including where it may violate these Terms, create legal or safety concerns, or where required by regulators or law enforcement.

We are not obliged to monitor all Content but may use automated and manual tools. A Listing appearing on the Service does not mean PartyAxis endorses, verifies, or guarantees any event, organiser, venue, or safety.

7. Intellectual property

Except for your Content, the Service, branding, software, and related materials are owned by PartyAxis or its licensors and are protected by intellectual property laws. No rights are granted except as expressly stated in these Terms.

8. Third parties & events

Listings may describe events operated by independent organisers or venues. Unless we say otherwise in writing, PartyAxis is not the organiser, promoter, guarantor, or insurer of those events. Your dealings with third parties are between you and them.

You are responsible for your own decisions about attending or participating in events you discover through the Service, including health, safety, and interactions with others.

9. No partnership; release

Nothing in these Terms creates a partnership, agency, joint venture, employment, or franchise relationship between you and PartyAxis. You have no authority to bind PartyAxis.

To the fullest extent permitted by law, you release PartyAxis (and its affiliates, officers, directors, employees, and agents) from claims and losses arising from disputes solely between you and other users, organisers, venues, or other third parties, except to the extent caused by PartyAxis’s own misconduct.

10. Disclaimers

The Service is provided on an “as is” and “as available” basis, to the fullest extent permitted by law. To the extent permitted, PartyAxis disclaims warranties of merchantability, fitness for a particular purpose, title, quiet enjoyment, accuracy, and non-infringement.

Listings are supplied by users and third parties. PartyAxis does not guarantee that Listings are accurate, complete, lawful, or safe, or that the Service will always meet your expectations. You use the Service and rely on Listings at your own judgment.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable mandatory law.

11. Limitation of liability

To the fullest extent permitted by law, PartyAxis and its directors, employees, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, goodwill, or business opportunities, arising out of or related to your use of the Service or any event advertised on it.

To the fullest extent permitted by law, PartyAxis’s aggregate liability for all claims arising out of or relating to the Service or these Terms in any twelve (12) month period shall not exceed USD 100 (one hundred United States dollars).

If you are dissatisfied with the Service, you may stop using it at any time. This does not affect any non-waivable rights you may have under mandatory law.

Where applicable law allows, you agree to bring claims only in your individual capacity and not as part of a class or representative action.

12. Indemnity

You will defend, indemnify, and hold harmless PartyAxis and its affiliates, officers, directors, employees, and agents from claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to your Content, your Listings, your use of the Service, your violation of third-party rights, or your breach of these Terms or applicable law.

13. Suspension & termination

We may suspend or terminate your access to the Service where we reasonably believe you have violated these Terms, created legal or safety risk, or where we need to do so for legal or operational reasons, in each case subject to applicable law. We may also stop offering the Service or your account features with reasonable notice where we can reasonably provide it. You may stop using the Service at any time.

Provisions that by their nature should survive termination (including licences to the extent necessary to operate archival backups, IP, disclaimers, limitations, indemnity, governing law) will survive.

14. Governing law & disputes

These Terms are governed by the laws of England and Wales, without regard to conflict-of-law principles, except that nothing in these Terms limits any mandatory rights or remedies that apply to you under the laws of your country of residence, citizenship, or habitual residence and that cannot be waived by contract.

Subject to the paragraph above and to applicable mandatory law, you agree that the courts of England and Wales shall have exclusive jurisdiction to resolve disputes arising out of or relating to these Terms or the Service. If a court of competent jurisdiction finds this forum clause unenforceable for you, disputes shall be brought in courts of competent jurisdiction as required by applicable mandatory law.

15. Changes

We may modify these Terms from time to time. We will post the updated Terms on this page and update the effective date. Where required by applicable law, we will provide further notice or obtain consent. If you continue to use the Service after changes take effect, you agree to the updated Terms unless applicable law gives you different rights.

16. Assignment

PartyAxis may assign or transfer these Terms or its rights and obligations to an affiliate or in connection with a merger, acquisition, reorganisation, or sale of assets. You may not assign or transfer these Terms without PartyAxis’s prior written consent.
